<p>The FTC sued CVS&#39;s Caremark, Cigna&#39;s Express Scripts and UnitedHealth&#39;s Optum Rx within the agency&#39;s administrative law court in September, accusing these PBMs and other drug middlemen of using a &#8220;perverse&#8221; rebate system to spice up their profits while driving down insulin costs for the to drive Americans up. </p>
<p>The FTC&#39;s internal administrative process initiates proceedings before an administrative law judge, who hears the case. The FTC commissioners then vote on this opinion.</p>

<p>CVS has faced challenges as higher medical costs weigh on its Aetna insurance unit and a pharmacy retailer pressured by weaker consumer spending and prescription drug reimbursement headwinds. In August, the corporate cut its full-year profit forecast for the third straight day and said it might cut $2 billion in costs over the subsequent few years.</p>
<p>In its press release Friday, CVS also said it expects third-quarter adjusted earnings to be between $1.05 and $1.10 per share. It expects medical costs to be higher than previously expected.</p>

<p>&#8220;We believe that the company&#39;s culture, governance and leadership should be strengthened by individuals who have both relevant industry experience and fresh perspectives, and that the company would be best served by a rapid replacement of the board,&#8221; Glenview said.</p>
<p>CNBC also reported last month that CVS&#39;s board had hired strategic advisers to weigh its options, including the potential of dissolving its insurance and retail businesses. But CVS will now move forward unscathed, an organization spokesman told CNBC on Friday.</p>
<p>Most recently, Joyner led the corporate&#39;s pharmacy services business as president of Caremark, CVS&#39;s primary pharmacy advantages manager, a position just like Lynch, before taking the highest job in February 2021. He retired from CVS in 2019 before returning to the helm of Caremark early last yr.</p>
<p>“I came back to CVS Health in 2023 because I believed I could give more to the company, and for the same reason I am pursuing this opportunity today,” Joyner said in an announcement.</p>
<p>He began his profession at Aetna in pharmacy profit services and previously held the role of executive vice chairman of sales and marketing at CVS Health.</p>

<p>Lynch also resigned from the corporate&#39;s board this week, the corporate said Friday. Joyner will sit on the board and Farah will assume the role of chairman.</p>
<p>As CEO of CVS, Joyner will cope with increased scrutiny of Caremark and other PBMs by the Biden administration and lawmakers, which is more likely to proceed no matter which party holds the White House after the US election. Last month, the Federal Trade Commission sued Caremark and two other major PBMs, saying they engage in practices that boost their profits while driving up insulin costs for patients.</p>

<p>The agency&#39;s lawsuit argues that the three PBMs created a &#8220;perverse&#8221; system that prioritizes deep discounts from manufacturers, leading to &#8220;artificially inflated insulin list prices.&#8221; The lawsuit also alleges that PBMs favor insulins with high list prices whilst insulins with lower list prices turn into available. </p>
<p>The lawsuit also affects the group purchasing organization (GPO) related to the PBM, which brokers drug purchases for hospitals and other healthcare providers. <p>CVS called the three commissioners&#39; previous statements &#8220;false allegations&#8221; about Caremark and other PBMs. </p>
<p>The healthcare giant also alleged that the three commissioners attended closed events to boost funds for anti-PBM lobbying groups in the course of the FTC investigation. The organizers of those events denigrated PBMs as “bloodsuckers” and “vampires,” CVS argued within the motion.</p>

<p>The review has been underway for a while, the people said, but there isn&#8217;t a certainty about what motion, if any, the corporate will take. A split of the insurance and trading business is one in all the choices being considered, it is alleged.</p>
<p>CVS management, including CEO Karen Lynch, met with major shareholder Glenview Capital on Monday to debate the corporate&#39;s declining outlook and Glenview&#39;s plans to revive the stock, CNBC previously reported.</p>
<p>In a press release, CVS spokesman David Whitrap told CNBC: “CVS Health&#39;s management team and Board of Directors continually seek opportunities to create shareholder value. We remain focused on driving performance and delivering high-quality healthcare services enabled by our unmatched scale and integrated model.&#8221;</p>
<p>CVS shares rose about 1% in premarket trading on Tuesday on the news, which was first reported by Reuters on Monday.</p>
<p>Lynch has struggled with an insurance business that has suffered from increased medical costs, which led to a leadership change earlier this year. Lynch took direct control of CVS&#39;s insurance division in August, replacing then-president Brian Kane.</p>
<p>The company also announced a new plan in August to cut spending by $2 billion over several years. On Monday, CVS said this would mean a reduction of less than 1% of its workforce, or about 2,900 workers.</p>
<p>The company owns Aetna health insurance, which includes Affordable Act, Medicare Advantage and Medicaid plans, as well as dental and vision insurance.</p>
<p>In particular, medical costs for Medicare Advantage patients have skyrocketed for insurers like CVS, UnitedHealth Group and Humana in the last year as more seniors return to hospitals to undergo procedures they had put off during the Covid pandemic, such as such as hip and joint replacements. </p>

<p>But Wall Street is increasingly concerned about the out-of-control costs of Medicare Advantage plans, which insurers warn won&#39;t go down any time soon. </p>
<p>In August, CVS said so <a href="https://s2.q4cdn.com/447711729/files/doc_financials/2024/q2/Q2-2024-Earnings-Release.pdf" goal="_blank" rel="noopener">Forecast for the full year lowered</a> reflected a decline in the company&#39;s Medicare Advantage star rating in 2024. These ratings are critical because they help patients compare the quality of Medicare health and drug plans and determine how much an insurer receives in bonus payments from the Centers for Medicare and Medicaid Services.</p>
<p>CVS predicted last year that it would lose up to $1 billion in 2024 due to lower star ratings, the company said in a statement <a href="https://www.sec.gov/ix?doc=/Archives/edgar/data/64803/000006480323000021/cvs-20230525_d2.htm" goal="_blank" rel="noopener">Deposit of securities</a>. </p>
<p>Unlike insurers like Humana, CVS has two other business lines &#8211; its retail pharmacy and health services segments &#8211; that could help mitigate the impact of higher medical costs. </p>
<p>The company&#39;s pharmacy and consumer wellness division reported year-over-year sales growth in the second quarter, driven in part by increased prescription volume. The unit dispenses prescriptions at more than 9,000 retail pharmacies across the U.S. and offers other pharmacy services such as vaccinations and diagnostic testing. </p>
<p>However, the company said declining prescription drug reimbursement rates and lower volume at the front of the retail store, where it sells everything from pantry staples to makeup and cleaning products, weighed on the unit&#39;s sales in the quarter. </p>
<p>Inflation, weaker consumer spending, theft and competition from Amazon and grocery giants are putting pressure on retailers. In August, CVS said same-store sales at the front of the store fell about 4% in the second quarter compared to the same period last year, reflecting a &#8220;general softening in consumer demand.&#8221;</p>
<p>CVS is counting on its private label products to draw shoppers away from national brands to combat inflation.</p>

<p>Meanwhile, CVS is under increased pressure in its pharmacy retail business. Reimbursement rates for prescribed drugs have fallen lately, while inflation and weaker consumer spending have made it harder for CVS locations to show a profit in stores.</p>

<p>The cost-cutting plan will, amongst other things, streamline the corporate&#39;s operations, increase the usage of artificial intelligence and automation and &#8220;rationalize&#8221; the business portfolio, executives said during a conference call on Wednesday.</p>
<p>The drugstore chain also announced that Aetna President Brian Kane, the highest executive of CVS&#39;s own insurance division, will leave the corporate effective immediately because of the present performance and outlook for the segment.</p>

<p>CVS also lowered its unadjusted earnings forecast to $4.95 to $5.20 per share, down from a previous guidance of at the least $5.64 per share. </p>
<p>It is the third consecutive quarter during which the corporate has lowered its 2024 earnings forecast. </p>
<p>CVS said the brand new forecast reflects continued pressure on its medical health insurance segment, which is fighting rising medical costs and the &#8220;adverse impact&#8221; of the corporate&#39;s Medicare Advantage star rankings, which help Medicare patients compare the standard of Medicare health and drug plans. </p>
<p>CVS owns Aetna Health Insurance. The company&#39;s insurance division includes Aetna&#39;s Affordable Care Act, Medicare Advantage and Medicaid plans, in addition to dental and vision insurance.</p>

<p>Medicare Advantage, a personal medical health insurance plan funded by the federal government&#39;s Medicare program, has long been a growth and profit engine for the insurance industry. But Wall Street is increasingly concerned in regards to the skyrocketing costs of those plans, which cover greater than half of all Medicare enrollees. </p>

<p>CVS&#39;s insurance segment generated revenue of $32.48 billion within the quarter, a rise of greater than 21% over the second quarter of 2023.</p>
<p>According to StreetAccount, revenue for the period was according to analysts&#39; estimates of $32.37 billion. </p>
<p>However, the division reported adjusted operating profit of only $938 million for the second quarter, below analysts&#39; expectations of $962 million for the period, in accordance with StreetAccount. </p>

<p>Pharmacy employees at 24-hour stores in Wakefield and Westerly won their union elections, becoming the primary CVS stores to unionize. <a href="https://www.cvs.com/retail/help/help_contact_us" target="_blank" rel="noopener">Home country</a>in keeping with a union press release. It comes a month after a CVS Omnicare pharmacy in Las Vegas – which has no customer contact – became the primary location to hitch the union, often known as <a href="https://pharmacyguild.org/" target="_blank" rel="noopener">The Pharmacist Guild</a>. </p>
<p>The union will represent them in negotiations with CVS. </p>

<p>Nine of the corporate&#39;s roughly 30,000 pharmacists within the United States are employed on the two locations, a CVS spokesman said in an announcement to CNBC. About 700 CVS pharmacists are already unionized in other groups, it said.</p>
<p>The spokesman said the corporate respects its employees&#39; right to prepare or not to prepare a union, adding that the vote was the primary of several steps within the collective bargaining process. </p>
<p>If the National Labor Relations Board confirms the findings, &#8220;we will negotiate in good faith with the union to try to reach an agreement,&#8221; the CVS spokesperson added. </p>
<p>They said the corporate was committed to making sure &#8220;adequate staffing and resourcing&#8221; in its pharmacies, using &#8220;a combination of personnel, working time, workflows and technology.&#8221;</p>
<p>Jerominski and other organizers of a nationwide pharmacy staff strike in the autumn formed the Pharmacy Guild in November with IAM Healthcare, a union representing 1000&#8217;s of health care staff. The walkout prolonged to major drugstore chains reminiscent of CVS, Walgreens and <span class="QuoteInBody-quoteNameContainer" data-test="QuoteInBody" id="RegularArticle-QuoteInBody-12">Rite Aid<span class="QuoteInBody-inlineButton"><span class="AddToWatchlistButton-watchlistContainer" id="-WatchlistDropdown" data-analytics-id="-WatchlistDropdown"><button class="AddToWatchlistButton-watchlistButton" aria-label="Add To Watchlist" data-testid="dropdown-btn"><span class="AddToWatchlistButton-addWatchListFromTag"></span></button></span></span></span>and drew media attention to staff&#39; concerns. </p>
<p>The Pharmacy Guild goals to assist pharmacy staff combat what many describe as unsafe staffing levels and increasing workloads across the industry, which put each staff and patients in danger. The union can also be calling for legislative and regulatory changes to implement higher standards in pharmacies to guard patients. </p>
<p>The union initiative reflects years of growing discontent amongst pharmacy staff, who often struggle with understaffed teams and rising work expectations from management. Many employees said the Covid-19 pandemic has only exacerbated these problems, with recent tasks reminiscent of vaccinations and testing putting much more strain on pharmacy staff. </p>
<p>The pharmacists union is seeing momentum constructing in other parts of the country, Jerominski said, adding that there may very well be more union filings for stores owned by corporations aside from CVS in the approaching weeks.</p>

<p>Jerominski and other organizers of a recent nationwide pharmacy employee strike teamed up with IAM Healthcare — a union representing 1000&#8217;s of health care employees — to form the Pharmacy Guild in November. <p>Like the strike effort, the Pharmacy Guild goals to assist pharmacy staff take care of what many employees describe as unsafe staffing and increasing workloads across the industry, putting each employees and patients in danger.  The guild can be calling for legislative and regulatory changes to determine higher standards of practice in pharmacies to guard patients. </p>
<p>The unionization effort is the culmination of years of growing discontent amongst retail pharmacy employees, who often struggle with understaffed teams and rising work expectations from management.  The Covid pandemic has only exacerbated these problems, with latest duties resembling testing and vaccinations placing much more strain on pharmacists and technicians. </p>
<p>In an announcement, a CVS Health spokesperson said the corporate respects the rights of its employees to prepare or refrain from unionizing, including Omnicare Las Vegas employees&#39; decision to hunt union representation.  The company added that it is going to work “closely and collaboratively” with its employees to deal with their current and future concerns and is “committed to creating a positive and rewarding work environment.” </p>
<p>Omnicare, which was acquired by CVS in 2015, isn&#8217;t a public pharmacy like many of the chain&#39;s nearly 10,000 stores.  According to CVS&#39;s website, Omnicare pharmacies are positioned in 49 states. </p>
<p>But Omnicare and other pharmacies face the identical problems, starting from staffing shortages to low starting salaries for technicians, Jerominski said. </p>
<p>“It&#39;s not specific to Omnicare, the issues they expressed were the same issues I hear across the country.  It’s ubiquitous in all the major chains,” Jerominski said.  “You can only ask an organization for support for a certain time frame.  &#8230; That&#39;s why the work stoppages happened.  They finally said, &#39;No, we&#39;re going to get the assistance we&#39;re asking for.&#39;&#8221; </p>
<p>The Pharmacy Guild will now work to reach a union contract with CVS to address the concerns of Omnicare employees in Las Vegas.  Jerominski said these employees want consistent work schedules that guarantee pharmacy technicians 40 hours a week year-round.</p>
<p>&#8220;You can&#39;t keep individuals with special skills and a family, especially given the extent of stress that comes with that job, in case you don&#39;t even guarantee them just their 40 hours,&#8221; Jerominski told CNBC. </p>
<p>The Pharmacy Guild can be experiencing increasing momentum in other parts of the country.  According to Jerominski, pharmacy employees at two retail stores in Rhode Island have officially confirmed that they&#8217;ve applied for union membership with the guild.</p>
<p>CVS&#39;s headquarters are within the state.</p>
